- Introduction: These terms and conditions (the “Terms”) govern the services provided by Sure Fire Group Ltd (the “Company”). By using the services of the Company, you confirm that you accept these Terms and that you agree to comply with them. If you do not agree to these Terms, you should not use the services of the Company.
- Services: The Company provides holding and management services for its portfolio of companies and subsidiaries, including financial and strategic management, oversight and direction of business operations, and coordination of resources.
- Risks: Investing in holding companies can be risky, as the value of the portfolio companies can fluctuate and may not perform as well as expected. Past performance is not indicative of future results.
- Client Agreement: By becoming a client of the Company, you will enter into a separate, binding agreement (the “Client Agreement”) with the Company that sets out the terms and conditions of your investment, including information on the investment strategy, fees, and any other costs and expenses associated with your investment.
- Fees: The Company charges management fees, performance fees, and other expenses associated with the management of its portfolio companies. These fees will be disclosed in the Client Agreement and the fund’s offering documents.
- Limitation of Liability: The Company shall not be liable for any loss or damage suffered by a client arising from the provision of its services, except to the extent that such loss or damage is caused by the Company’s fraud or wilful default.
- Governing Law: These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
- Entire Agreement: These terms and conditions, together with the Client Agreement, constitute the entire agreement between you and the Company in relation to the services provided by the Company.
- Variation: The Company reserves the right to make changes to these terms and conditions at any time. Any such changes will be posted on the Company’s website and will be binding on you from the date of posting.
- Severability: If any provision of these terms and conditions is found to be invalid or unenforceable, such provision shall be severed from the remainder of these terms and conditions, which shall remain in full force and effect.
- Waiver: The failure of the Company to enforce or exercise any rights or provisions under these terms and conditions shall not constitute a waiver of such right or provision.
The Client acknowledges that they have read and understood these terms and conditions, and agree to be bound by them. These terms and conditions shall remain in effect until terminated in accordance with their provisions
